Terms & Conditions
1. Introduction
1.1 These terms and conditions are agreed to by all clients entering into a contract with Amped Web Design; a client accepts these terms after signing an order/providing a letter of acceptance for the services being provided.
1.2 These terms and conditions can only be altered after approval by the managing director of Amped Web Design.
2. Quotations
2.1 A Quotation shall not be binding to Amped Web Design and a contract will only become binding upon the signing of an order form provided by Amped Web Design or until a written order is given by the client and is signed by the managing director of Amped Web Design.
2.2 Any Quotation provided by Amped Web Design will remain open for acceptance by the client for up to 14 (fourteen) days after the quote has been issued unless other stipulated in the quote.
2.3 Amped Web Design reserves the right to alter any VERBAL quotes given to clients after consideration and translation into a written quote.
3. Price and Payment
3.1 Before work can commence, the client must agree to these terms & conditions and pay a 50% deposit of the total amount of service(s) being provided. This amount will be indicated on the initial deposit invoice.
3.2 The deposit stated above applies to all projects, unless otherwise stated in the contract with the client.
3.3 If the client does not agree with the amount on the invoice sent to them by Amped Web Design, they must contact Amped Web Design within 7 days of receiving the invoice, otherwise Amped Web Design will take this as an acceptance of the order and the client will be due to pay the amount stated.
3.4 Amped Web Design considers the date of issuing the invoice for the initial deposit as the start date for any service being carried out for the client.
3.5 All invoices issued by Amped Web Design to the client must be paid within 10 working days of the issue date, unless otherwise agreed with the client.
3.6 Amped Web Design reserves the right to take legal proceedings to recover the costs of the services provided should they not receive the payment within these 10 days. This will be to add the default interest rate to the total amount specified in the Late Payment of Commercial Debts (Interest) Act 1998, and will be added from the day payment is due until the day of receipt.
3.7 The client will make all cheques out to "Amped Web Design", pay in cash, or BACS transfer.
4. Content and Copyright
4.1 Once a quote is accepted the client must provide any necessary content within ten working days unless otherwise agreed in writing by the Managing Director of Amped Web Design.
4.2 The client accepts that they have the legal rights to use/own all content being provided to Amped Web Design for publishing on the web. And that no other party's moral right or copyright will be infringed by Amped Web Design carrying out this work.
4.3 Amped Web Design has the right to refuse any content should they suspect it infringes on another party's Intellectual Property/Copyright or sufficient proof of permissions or ownership is not presented by the client.
5. Domain Names and Hosting
5.1 Amped Web Design is not responsible for the renewal of a client's domain name or hosting.
5.2 However, if the client has purchased their domain name or hosting through Amped Web Design we will make every effort to remind the client when their renewal date approaches via email/telephone so they can make the appropriate arrangements to renew or cancel the service.
5.3 If the client does not renew their hosting and domain name it is possible that the domain name will be made available for purchase and sold to a third party. In such a case Amped Web Design will not accept liability for these losses.
5.4 If hosting goes down due to technical or unforeseen circumstances Amped Web Design cannot be held liable for any losses incurred to the client.
5.5 Amped Web Design cannot be held responsible for any losses (including financial) incurred if a client does not renew their domain or hosting.
6. SEO (Search Engine Optimisation)
6.1 When carrying out an SEO campaign for a client's website Amped Web Design will try to improve its position in search results in Search Engines. However Amped Web Design does not guarantee that this campaign will result in improved position.
6.2 Amped Web Design cannot be held responsible for any changes to the position of your Web Site in the Search Engine results in response to a search.
7. Ecommerce Websites
7.1 Amped Web Design will accept no liability for any financial loss resulting from the use of any E Commerce website.
8. Target Deadlines and Liability
8.1 All dates and deadlines Amped Web Design states to a client are at best an estimate. We will always try to honour these targets and deadlines to the best of our ability. However we will not accept any liability for failing to meet these schedules if circumstances are outside of our control.
8.2 Should the client incur any losses due to the theft, damage or destruction of content provided by the client, Amped Web Design's liability will be limited to the replacement costs of the actual material.
8.3 All content provided by the client is to be approved by the client before passing it on to Amped Web Design. Amped Web Design will not check provided content, including, but not limited to, the spelling of text, accuracy/appropriateness of images, accuracy of phone numbers, emails client details etc.
8.4 In the case of faults in the material/content provided by the client, Amped Web Design will not accept liability for the cost of correcting these faults should these faults be noticed by the client after the website has been handed over or the website has gone live.
8.5 The Amped Web Design will not accept liability for anything adversely affecting the client's business that might be claimed as a result of Amped Web Designs provided services.
9. Termination
9.1 Amped Web Design reserves the right to terminate its contract with the client should they be found to be in breach of the terms stated here and within their contract with Amped Web Design.
9.2 Amped Web Design reserves the right to suspend or terminate services being provided to the client should they fail to make payments at the mutually agreed times or become insolvent. In any of these cases the client will forfeit any monies already paid to Amped Web Design for services.
9.3 Amped Web Design will not be liable for any costs/damages incurred to the client should it choose to terminate the contract if any of the above breaches are apparent.
10. Sub-Contraction
10.1 Amped Web Design shall be entitled to sub-contract any work relating to the contract without obtaining the consent or, or giving notice to, the client.
